Terms and Conditions

1. Scope of Work

  • 1.1 Platform & Consultation Fees (PCF):
    Huescape Design provides consultation and design recommendations based on site feasibility and budget.

  • 1.2 Booking Confirmation:
    A tentative estimate (“Initial BOQ”) is shared and valid for 30 days; final quantities may vary up to 10%.

  • 1.3 Modifications:
    Customer can modify or delete items (up to 10% of BOQ value). All changes follow these Terms.

  • 1.4 Site Validation & Final Scope:
    After site validation, Huescape Design finalizes the execution plan and “Project Value” (includes PCF).

  • 1.5 Execution:
    Huescape Design executes interior work as per approved design at the designated property.

  • 1.6 Multiple Orders:
    Multiple orders (e.g., modular work, civil work) can exist under one project; payments are order-based.


2. Payment Terms

  • 2.1 Fees:
    Customer pays all fees and charges as communicated.

  • 2.2 Non-Refundable Payments:
    All payments, including Project Value, are non-refundable due to the customized nature of work.

  • 2.3 PCF on Modifications:
    PCF applies to any changes; minimum charge is on 90% of Initial BOQ.

  • 2.4 Variation Impact:
    Any change in Scope affects cost and timeline.

  • 2.5 Payment Method:
    Payments only through Huescape Design’s official payment link to “Huescape Design Pvt. Ltd.”

  • 2.6 Taxes:
    Customer pays applicable GST or similar taxes.


3. Obligations of the Parties

Customer Obligations

  • Provide property access, accurate site info, and timely approvals/payments.

  • Allow site photography by Huescape Design.

  • No direct dealings with Huescape Design vendors/employees (unauthorized transactions are void).

  • 3D renders are for reference; only BOQ-approved items will be delivered.

  • Products are made-to-order; payments remain non-refundable.

  • Provide accurate registration details (name, PAN, contact, GST, etc.).

Huescape Design Obligations

  • Designer assists in conceptual design and visuals.

  • Project Manager supervises execution and communication.

  • Product warranty is provided as per policy.


4. Project Delivery Timelines

  • Project divided into phases with timelines set by Project Manager.

  • Delays in approvals, payments, or site access extend timelines.

  • Payment of balance due within 7 days of dispatch intimation; delay affects Handover date.

  • Delay in product collection (beyond 30 days) incurs 0.25% of Project Value/week as warehousing charges; risk of loss shifts to customer.

  • Handover = area is functional (minor snags don’t affect functionality).


5. Project Delays & Penalties

  • Delay penalty = 0.25% of Project Value per week, max 3%, after grace period:

    From 60 to 120 daysa grace period of 15 (fifteen) working days from the committed Handover Date
    More than 120 daysa grace period of 30 (thirty) working days from the committed Handover Date
  • No penalty if delay is due to:

    • Customer default or delay (payments, access, approvals)

    • Scope changes

    • Force majeure

    • Misconduct or abuse of Huescape Design staff

    • Any delay attributable to customer


6. Warranty

  • Covers manufacturing defects as per warranty document.

  • Warranty valid only after full payment and signed handover.

  • Claims via email to care@huescapedesign.com with proof.

  • Some natural issues excluded.

  • Disclaimer: All services/products are provided “as is”; implied warranties disclaimed.


7. Intellectual Property

  • All designs, renders, logos, and content belong to Huescape Design.

  • No usage without written consent.

  • Infringement allows Huescape Design to terminate terms without refund and seek legal remedies.


8. Limitation of Liability

  • Max liability = amount paid for the specific product/service.

  • No liability for indirect or consequential losses (profits, rent, goodwill, etc.).


9. Expiration & Termination

  • Terms expire upon Project Handover.

  • Huescape Design may terminate with 15 days’ notice if customer defaults or abuses staff.

  • No refund on termination due to customer fault.

  • Certain clauses (Payment, IP, Liability, Force Majeure, etc.) survive expiration.


10. Force Majeure

  • Huescape Design not liable for delays due to uncontrollable events (natural disasters, lockdowns, strikes, etc.).

  • Parties may renegotiate if such conditions last over 15 days.


11. Governing Law & Jurisdiction

  • Governed by Indian law; Lucknow Highcourt have exclusive jurisdiction.


12. Non-Disparagement

  • Customer shall not make defamatory or negative comments about Huescape Design or its staff in any form (verbal, written, or online).


13. Miscellaneous

  • Entire Agreement: These Terms + Policies form the complete contract.

  • Variation: Huescape Design may revise Terms due to legal, market, or policy changes.

  • Marketing Consent: Huescape Design may photograph project for publicity (without disclosing customer name).

  • Severability: Invalid clauses don’t affect the rest.

  • Notices: All communication via electronic transmission.

  • Policies: Customer dos/don’ts, refund & privacy policies available at https://huescapedesign.in/terms-conditions

  • Interpretation: No clause to be construed against Huescape Design as drafter.
